Macedonian Society for Basic, Clinical Immunology and Allergology

On the basis of articles 5, 20 and 76 of the Law for Societies of citizens and foundations (Official Gazette of the Republic of Macedonia no. 31 from 02.07.1998) the Assembly of the Macedonian Society for Basic, Clinical Immunology and Allergology, on its meeting held on 15.01.2000, has brought

 S T A T U T E

of Macedonian Society for Basic, Clinical Immunology and Allergology (MSBCIA)

 

GENERAL PRINCIPLES

 Article 1

Macedonian Society for Basic, Clinical Immunology and Allergology is a society of citizens – immunologists and allergologists established by a free will of the citizens in order to accomplish and coordinate their interests and to perform activities and actions aimed at improving basic, clinical immunology and allergology in the Republic of Macedonia.

Article 2

 The citizens establish Macedonian Society for Basic, Clinical Immunology and Allergology in order to broaden their social interest so as to satisfy the needs of professional and other help in the fields of basic, clinical immunology and allergology.

 Article 3

 Member of the Macedonian Society for Basic, Clinical Immunology and Allergology may be each adult citizen – resident of the Republic of Macedonia, who will join the Society by his own free will signing a written consent.

The admission to the Society is done with filling-out an application form, that is by issuing a membership card, which is compulsory returned if the membership ceases or the member is excluded.

Macedonian Society for Basic, Clinical Immunology and Allergology from Skopje keeps membership register for its members, which is updated annually.

Article 4

The member has the right to be elected in the bodies of the Society, to participate in the work of the Society and to contribute to the development and reputation of the Society.

Article 5

The members of the Society are obliged:

  • to pay the membership regularly;

  • to participate at the meetings;

  • to undertake concrete action in implementing the Program of activities of the Society.

Article 6

 Macedonian Society for Basic, Clinical Immunology and Allergology, being a Society of citizens – immunologists and allergologists will achieve its aims, actions and activities in accordance with the relations regulated with the Constitution of the Republic of Macedonia, this Statute, as well as with other legal acts that regulate this type of material.

 Article 7

 Macedonian Society for Basic, Clinical Immunology and Allergology is represented by the President.

 Article 8

The title of the Society of the citizens is Makedonsko zdruzhenie za bazichna, klinichka imunologija i alergologija (abbreviation of the Society is MZBKIA). The title of the Society in English is Macedonian Society for Basic, Clinical Immunology and Allergology (MSBCIA).

Article 9

The headquarters of the Macedonian Society for Basic, Clinical Immunology and Allergology is in Skopje.

Macedonian Society for Basic, Clinical Immunology and Allergology is organized and acts on the region of the Republic of Macedonia.

Article 10

Macedonian Society for Basic, Clinical Immunology and Allergology is a legal body.

Macedonian Society for Basic, Clinical Immunology and Allergology has its own seal and archive stamp.

The seal is round and it contains the name of the Society: Macedonian Society for Basic, Clinical Immunology and Allergology and in the middle of it there is the emblem of the Society.

The archive stamp of the Macedonian Society for Basic, Clinical Immunology and Allergology is rectangular with the following text: “Macedonian Society for Basic, Clinical Immunology and Allergology”, number, date and place.

Article 11

The work of the Macedonian Society for Basic, Clinical Immunology and Allergology is public.

The publicity of the work is guaranteed by regular reports on all forms of work to the Societies of citizens – immunologists and allergologists, by inspection in conducting of all program tasks, by submitting reports on the work of the Society’s bodies and organs, and of the financial work, etc.

The newspapers, radio, television, as well as web pages on Internet are used for giving information to the members and broader public.

 

AIMS AND TASKS OF THE SOCIETY AND WAY OF THEIR ACCOMPLISHMENT

 Article 12

The citizens are united in the Macedonian Society for Basic, Clinical Immunology and Allergology in order to accomplish broader common interest, and the Society’s special aims and tasks are the following:

  • it deals with professional questions from its fields of interest and participates in organizing and performing education of its members and in accomplishing doctrinaire postures of its field;

  • it works on planned professional advanced training of its members by organizing congresses, symposia, seminars, professional meetings, etc.

  • it collaborates in planning the staff, specializations and post-graduate studies in its field;

  •  it monitors the organization and work of the health activity in the framework of its professional authority and it suggests measures for improvement and advancement of the organization of the work to the relevant organs and organizations;

  •  it cooperates with the other societies from the Macedonian Medical Association in the areas of common interest.

The Society becomes member of the Macedonian Medical Association and communicates directly with the European and world societies of specialists.

The Society can publish either its own or a joint journal together with another similar Society.

The Society:

  • works on improving the health culture of the population;

  • nourishes and develops the principles of the Codex of Medical Deontology and it develops a feeling of friendly relations among its members and among the members of MMA;

  • keeps evidence of its membership through a register of members, which is a constituent part of the register of the members of MMA;

  • it issues identification cards for its members.

  

FINANCING OF THE MACEDONIAN SOCIETY FOR BASIC, CLINICAL IMMUNOLOGY AND ALLERGOLOGY

 Article 13

 The Society realizes its profit by:

  • membership;

  • donations;

  • budget;

  • commissions from organs, organizations, communities and from other services;

  • from trade associations; and

  • from other services.

Article 14

Macedonian Society for Basic, Clinical Immunology and Allergology uses and handles with the funds obtained on the basis of the above-mentioned article according to the established criteria with this Statute and the other legal norms.

Article 15

The organs of the Macedonian Society for Basic, Clinical Immunology and Allergology decide for the use and handling with the finances in line with the competence set with this Statute, which undertake measures for economic adequate usage of the finances and for prevention and elimination of the irregularities.

Article 16

Macedonian Society for Basic, Clinical Immunology and Allergology brings annual financial plan for the incomes and expenditures of the Society.

The financial plan contains the incomes acquired according to the article 13 of the Statute as well as the expenditures for the social activities, salaries of the employees, mutual expenses of the employed, material expenses for the work of the Society, and other expenses connected with the work.

 

MANGEMENT WITH THE MACEDONIAN SOCIETY FOR BASIC, CLINICAL IMMUNOLOGY AND ALLERGOLOGY

 Article 17

 The Macedonian Society for Basic, Clinical Immunology and Allergology is managed by an organized group of members directly or by its representatives in its organs.

 Rights and duties of the representative are:

  • to elect and to be elected in the organs of the Society;

  • to suggest solutions to questions of mutual interest;

  • to work on development and advancement of social and other activities that originate from the Statute, program aims and tasks and from the accepted decisions and conclusions;

  • to conduct entirely the regulations of the Statute and program activities;

  • to represent the interests and postures of the Society;

  • to ask for professional and other help in the field of immunology and allergology

 

ORGANS OF THE MACEDONIAN SOCIETY FOR BASIC, CLINICAL IMMUNOLOGY AND ALLERGOLOGY

 Article 18

The bodies of the Macedonian Society for Basic, Clinical Immunology and Allergology are:

  • Assembly;

  • Executive Board.

Article 19

The Assembly consists of all the members of the Macedonian Society for Basic, Clinical Immunology and Allergology.

The mandate of the representatives lasts four years.

The Assembly organizes meetings if it is necessary, but at least once per year.

Article 20

The President of the Assembly schedules the meetings.

Meetings of the Assembly are also convened on the suggestions of the Executive Committee of the Society or on the suggestion of 1/5 of the total number of the members of the Assembly.

If the President of the Assembly does not call a meeting within a period of 14 days since the day of the given suggestion, then the meeting is called by the Executive Committee or the initiators.

The meeting of the Assembly for the work of the Executive Committee can be also called upon the suggestion of the Supervisory Commission.

The way of scheduling the meetings of the Assembly of the Society is determined by the Protocol for work of the Assembly.

Article 21

On its regular and irregular meetings the Assembly of the Macedonian Society for Basic, Clinical Immunology and Allergology chooses representatives from its members for the Executive Committee, which is an executive organ of the Assembly.

Article 22

The decisions of the Assembly are valid if more than one half of the total number of representatives is present.

The Assembly brings the decisions by rule with the majority of votes of the representatives present.

 The Assembly has the following competence:

  • to bring the Statute of the Assembly and to make changes and amendments;

  • to elect and suspend members of the Executive Committee;

  • to adopt program orientation for work of the Society for the period of four years as stated in the annual programs;

  • to inspect and adopt the report of the work of the Executive Committee between two assemblies;

  • to monitor the financial state of the Society between two assemblies;

  • to bring financial plan and to adopt the annual financial statement of the Assembly;

  • to discuss the accomplished results of the development of the Society and to give directions for further development of the Society;

  • to bring decisions, conclusions, recommendations for resolving questions of interest of the Society;

  • to perform other activities which originate from the Statute and the Law.

 Article 23

The Executive Committee of the Macedonian Society for Basic, Clinical Immunology and Allergology is the executive organ of the Assembly where each member has equal rights, obligations and responsibilities for the work and development of the Society in accordance with the Statute.

 Article 24

The Executive Committee of the Macedonian Society for Basic, Clinical Immunology and Allergology consists of 11 members.

Mandate of the members of the Executive Committee is four years.

The President of the Executive Committee with the mandate of four years is elected from its members.

The President of the Executive Committee is at the same time the President of the Macedonian Society for Basic, Clinical Immunology and Allergology, and he represents the Society.

Article 25

The Executive Committee has the following competencies: 

  • to conduct the statutory and program tasks of the Macedonian Society for Basic, Clinical Immunology and Allergology, as well as the decisions and conclusions of the Assembly;

  • to bring and realize the annual program for work;

  • to suggest changes and amendments for the Statute;

  • to bring adequate Books of regulations, to accept agreements and to sign contracts;

  • to call meetings of the Assembly and to prepare the material;

  • to appoint and to suspend the Secretary of the Macedonian Society for Basic, Clinical Immunology and Allergology;

  • to bring decisions for creation of permanent and temporary commissions, and to direct their work;

  • to organize and actively participate in the organization of various actions and manifestations;

  • to bring decisions for rewards, certificates of merits and recognition;

  • to bring decisions for supply and convey of the basic means;

  • to give consent for the Book of regulation for the organization of the work and working tasks of the professional service of the Macedonian Society for Basic, Clinical Immunology and Allergology

  • to bring decisions upon objections and complaints;

  • to perform other activities that are in line with the needs of the Statute of the Society.

 Article 26

The Executive Committee is responsible for its work in front of the Assembly of the Macedonian Society for Basic, Clinical Immunology and Allergology;

The Executive Committee meets and calls meetings if it is necessary.

The President of the Executive Committee calls the meeting.

The meeting of the Executive Committee is convened on the suggestion submitted by one half of the members of the Executive Committee, one third of the representatives of the Assembly or by the Supervisory Commission and the Secretary of the Society.

The President presides over the meeting and in his absence a member that is going to be elected by the Executive Committee will take over this role. The way of scheduling the meeting and the work of the Executive Committee are regulated with the Book of regulations for work.

Article 27

In order to perform the statutory tasks and decisions of the Assembly and the Executive Committee, the Executive Committee forms a Supervisory Commission and other working bodies.

The Supervisory Commission controls the effectuation of the principles of this Statute and controls the handling of the intended funds and incomes of the Macedonian Society for Basic, Clinical Immunology and Allergology.

The Supervisory Commission submits its findings and decisions to the Assembly and the Executive Committee of the Macedonian Society for Basic, Clinical Immunology and Allergology.

 

PROFESSIONAL SERVICE OF THE MACEDONIAN SOCIETY FOR BASIC, CLINICAL IMMUNOLOGY AND ALLERGOLOGY

Article 28

Professional Service is founded for the purpose of performing the administrative – professional, auxiliary and similar works of common interest and for executing the tasks and aims of the Macedonian Society for Basic, Clinical Immunology and Allergology.

Article 29

The rights, obligations and responsibilities for the work of the employed in the professional service are determined by the Secretary of the Macedonian Society for Basic, Clinical Immunology and Allergology in accordance with the legal acts and the Statute.

Article 30

The funds for the work of the Professional Service are settled by a financial plan every year as follows: funds for salaries, funds for common expenses, funds for material expenses, funds for special purpose for normal executing of the function.

Article 31

The Secretary manages with the Professional Service of the Macedonian Society for Basic, Clinical Immunology and Allergology.

The Secretary is appointed and suspended by the Executive Committee in line with the conditions that are regulated with a special decision.

The Secretary of the Professional Service is at the same time the Secretary of the Macedonian Society for Basic, Clinical Immunology and Allergology.

The Secretary realizes his working contract in the Professional Service of the Macedonian Society for Basic, Clinical Immunology and Allergology, and he is responsible for his work to the Executive Committee.

Article 32

Rights, obligations and responsibilities of the Secretary:

  • he directs with the work of the Professional Service;

  • he is the executive body and he performs all rights and obligations originating from the Law for working relations;

  • he gives orders and signs the account of the Society;

  • he is responsible for executing the Financial plan and the Program for work.

  • he takes care of the timely effectuation of the decisions and conclusions brought by the Assembly and the Executive Committee;

  • in the legal affairs he undertakes measures and actions on behalf of the Macedonian Society for Basic, Clinical Immunology and Allergology;

  • he takes care of the correct application of the legal regulations from the field of activities performed by the Society;

  • he signs contracts, agreements on behalf of the Macedonian Society for Basic, Clinical Immunology and Allergology.

 

CESSATION OF THE ACTIVITIES OF THE MACEDONIAN SOCIETY FOR BASIC, CLINICAL IMMUNOLOGY AND ALLERGOLOGY

Article 33

The Macedonian Society for Basic, Clinical Immunology and Allergology will cease its work upon the decision of the members of the Macedonian Society for Basic, Clinical Immunology and Allergology, if the number of the members is reduced under the number necessary for foundation, and if there emerge some causes set in the Article 52 from the Law.

The decision for termination of the work of the Society is brought by the Assembly with two thirds of the members of the Macedonian Society for Basic, Clinical Immunology and Allergology.

Article 34

After the cessation of the activities of the Assembly, the estate and other rights and incomes that are left after the fulfilled obligations are transferred in possession of the Red Cross of the Republic of Macedonia.

 

TRANSITIONAL AND FINAL REGULATIONS

Article 35

The right for interpretation of the regulations of this Statute has the Assembly of the Macedonian Society for Basic, Clinical Immunology and Allergology and between the two Assemblies the Executive Committee of the Society.

Article 36

The Macedonian Society for Basic, Clinical Immunology and Allergology is the legal successor of the entire estate – the assets of the former Society of the Macedonian Society for Basic, Clinical Immunology and Allergology.

Article 37

Changes and amendments to this Statute are done in the same procedure in which they have been introduced.

Article 38

The Statute is in effect with the day of its introduction, and the Book of regulations of the Macedonian Society for Basic, Clinical Immunology and Allergology brought at 22.12.1993 is no longer valid.
